RECOMMENDATION that, in accordance with Section 100A(4) of the Local Government Act 1972, the press and public (with the exception of Mr. Martin Thomas [Managing Director of Red One Ltd.], Mr. Paul Crowe [Sales Director of Red One Ltd.] and Lt. Col [Retd] Sean Glynn [Company Secretary, Red One Ltd.]) be excluded from the meeting for the following items of business on the grounds that they involve the likely disclosure of exempt information as defined in the following Paragraph(s) of  Part 1 of Schedule 12A (as amended) to the Act:

For Item 4

·         Paragraph 3 (information relating to the financial and business affairs of any particular person – including the authority holding that information).

For Item 5

·         Paragraph 3 (information relating to the financial and business affairs of any particular person – including the authority holding that information); and

·         Paragraph 5 (information in respect of which a claim to legal professional privilege could be maintained in legal proceedings).

RESOLVED that, in accordance with Section 100A(4) of the Local Government Act 1972, the press and public (with the exceptions of Mr. Martin Thomas [Managing Director of Red One Ltd.], Mr. Paul Crowe [Sales Director of Red One Ltd.] and Lt. Col. [Retd.] Sean Glynn [Company Secretary, Red One Ltd.]) be excluded from the meeting for the following items of business on the grounds that they involved the likely disclosure of exempt information as defined:

·         for Minute DSFRA/59, in Paragraph 3 (information relating to the financial and business affairs of any particular person, including the authority holding that information) and Paragraph 5 (information in respect of which a claim to legal and professional privilege could be maintained in legal proceedings) of Part 1 of Schedule 12A (as amended) to the Act; and

·         for Minute DSFRA/60, in Paragraph 3 (information relating to the financial and business affairs of any particular person, including the authority holding that information).

(Councillors Healey, Thomas and Woodman each declared personal, non-pecuniary interests in this matter by virtue of their being Authority-appointed non-executive directors on the Board of Red One Ltd.)

THE CONTENT OF THIS MINUTE CONTAIN EXEMPT INFORMATION AS DEFINED IN PARAGRAPH 2 OF PART 1 OF SCHEDULE 12A TO THE LOCAL GOVERNMENT ACT.  THE CONTENT WILL BE THE SUBJECT OF A REPORT DRAFTED IN ACCORDANCE WITH SECTION 100C(2) OF THE LOCAL GOVERNMENT ACT 1972.

The Authority considered a report of the Director of Corporate Services (DSFRA/17/9) to which was appended legal advice on the different legal incarnations for a company.  This advice covered, amongst other things, the differences between companies limited by shares and by guarantee and private or community interest companies.

THE REMAINING CONTENT OF THIS MINUTE CONTAIN EXEMPT INFORMATION AS DEFINED IN PARAGRAPH 2 OF PART 1 OF SCHEDULE 12A TO THE LOCAL GOVERNMENT ACT.  THE CONTENT WILL BE THE SUBJECT OF A REPORT DRAFTED IN ACCORDANCE WITH SECTION 100C(2) OF THE LOCAL GOVERNMENT ACT 1972.

This Extraordinary General Meeting of Red One Ltd. (“the company”), attended by the Authority in its capacity as sole shareholder of the company, received presentations by the Directors of the Board together with a report, prepared by the Authority’s Director of Corporate Services (DSFRA/17/8), on commercial operating models.   A note of this Extraordinary Meeting of Red One Ltd. – which contains exempt information – is appended to the Restricted Minutes of this Extraordinary Meeting of the Authority.
